MKS Announces Exercise of Underwriter Warrants

Waterloo ON - May 7, 2003: MKS Inc. (MKS) (TSX:MKX), a leading provider of tools to automate, secure, manage and control the software development process, today announced that holders of 926,000 underwriter warrants (the "Underwriter Warrants") issued by MKS in connection with the sale of special warrants of MKS in February 2001 have now exercised all of their warrants. Each Underwriter Warrant entitled the holder to acquire one common share of MKS at an exercise price of $1.35. In January 2003, MKS extended the expiry date for the Underwriter Warrants from February 23, 2003, to April 29, 2003. Proceeds from the exercise totaled US $752,086. The exercise of the warrants increased the outstanding common shares of MKS to 40,699,532 as of April 30, 2003.
